C&L Companies is the registered owner of several trade names including, without limitation: Pivot Works, Inc.^TM, Hot Rods^TM, and Hot Cams^TM. As such, C&L Companies reserves the right to monitor and control the use of all registered trade names in connection with any advertisement, catalog, or publication.

Advertising Covered by this Policy:

C&L Companies' Advertising Policy covers any communication regarding the pricing of C&L Companies' products (i.e. Pivot Works, Inc.^TM), which may be read or heard by someone outside of a dealer's physical retail location. The policy, therefore, covers communications in the form of print or broadcast media including, but not limited to, magazine ads, internet web sites, and catalogs.

Minimum Advertised Prices:

C&L Companies reserves the right to establish minimum advertised prices for all trademarked products. Any retail outlet (e.g. dealer, mail-order, Internet store, etc.) selling Pivot Works, Inc.^TM may not advertise prices that are 10% below suggested retail price. For purposes of this Advertising Policy, the minimum advertised price shall mean a price that is discounted no more than 10% below the suggested retail price applicable to the advertised product.

C&L Companies' Advertising Policy allows advertising for its products that does not mention any price; identifies C&L Companies' suggested retail price; or indicates a discount of up to 10% off the product's suggested retail price.

Internet Price Advertising:

Prices advertised on Internet web sites must comply with C&L Companies' Advertising Policy. As such, prices posted anywhere on an Internet web site (including online stores and auctions) must be equal to or greater than the minimum advertised prices established by C&L Companies.

Application of Internet Policy:

This Internet pricing policy covers prices that appear anywhere on an Internet web site (e.g. shopping carts, purchase order forms, etc.), and to prices that do not appear in publicly available areas on the web site itself (e.g. password-protected content). References to discounts including promotional discounts or coupons are strictly prohibited under this policy. Prices communicated by any of these means must comply with C&L Companies' minimum advertised prices. Note that dealers operating Internet web sites are free to sell products at prices below C&L Companies' minimum advertised prices; however, these lower prices must be quoted and sold only in response to an in-person, telephone, or e-mail inquiry from a customer.

While C&L Companies reserves the right to determine what minimum prices may be advertised for its products, its distributors and retail outlets are completely free to sell C&L Companies' products at whatever price they choose. This Advertising Policy is not designed to determine or influence the price at which any distributor or retail outlet sells C&L Companies products.

C&L Companies has implemented mechanisms to monitor and track violations of this Advertising Policy. In the interest of protecting the reputation and integrity of its products, C&L Companies will unilaterally enforce this Advertising Policy against dealers and retailers. C&L Companies hereby reserves the right to suspend and/or terminate its relationship with distributors who do not enforce this Advertising Policy with their dealer network.
